Mergers and Acquisitions

HCMP represents a wide range of public and privately held corporations,
limited liability companies, partnerships, and individuals in connection
with the structuring, negotiation and documentation of mergers and acquisitions
and other business restructurings. Who are our clients? Here is a sample:

Weyerhaeuser Company. We assisted Weyerhaeuser
Company and its affiliates with the acquisition of a California land
development company, the formation of a joint venture to construct
a wood fiber recycling mill, and the sale of a private railroad.

Weyerhaeuser Real Estate Company and Weyerhaeuser
Venture Company. We regularly represent Weyerhaeuser Real Estate
Company and Weyerhaeuser Venture Company in connection with the formation
and restructuring of joint ventures, limited partnerships, and other
entities involved in real property acquisition and development.

BMW Seattle. We represented the purchaser
of BMW Seattle.

Performance Technologies, Incorporated. We
represented Performance Technologies, Incorporated, dba PTI Environmental
Services, in connection with its acquisition by The Failure Group,
Inc., a public company. The transaction was structured as a merger.

Ferrous Corporation. We represented the Ferrous
Corporation, a Washington distributor of fuel additives, in its acquisition
by Bycosin AB, a Swedish corporation. The transaction was structured
as a reorganization involving both a merger and a share exchange.

Murrey Companies. We represented the Murrey
Companies, a family of privately-owned integrated solid waste collection
and recycling companies, in their merger with a national publicly-held
solid waste company.

Conductive Rubber Technology, Inc. We represented
Conductive Rubber Technology in connection with its purchase of the
stock of a Mexican manufacturing company and the simultaneous purchase
of related assets owned by a California corporation. We subsequently
represented the company in the sale of substantially all of its assets
to Datwyler Holding AG, a Swiss company.

Land Recovery, Inc. We represented Land Recovery,
Inc. in connection with the reorganization of the company into a limited
liability company and sale of a majority interest in the company in
two separate transactions to Waste Connections, Inc., a publicly traded
solid waste handling company.
Our work includes analysis of the tax consequences of the proposed
transaction, as well as compliance with securities, antitrust, and other
applicable laws and regulations. We also coordinate the governmental
approval process and the preparation of required administrative filings.
