Lender ServicesAll Types of LoansWhat kind of loans do you make? Chances are pretty good that we document them. For several lenders, we have developed modular document sets for non-revolving acquisition, development, and construction loans. Many of the loans that we document are for development and construction of "for sale" residential product, including homes, condos, and townhouses. We understand the details of residential construction, whether it be setting protective release prices, establishing disbursement controls that are consistent with your budgeting and draw procedures, negotiating intercreditor subordinations, or negotiating terms of subordination with the developer of a master planned community. We also have helped clients develop loan documents for revolving construction credit lines, including multi-project credit lines and so-called "guidance" lines. Under these arrangements, loans are often separately memorialized and secured for different projects in the collateral pool, but subject to an annually renewable master agreement that establishes a master borrowing base, unit allocations for each residential unit, a continuing guaranty, financial covenants, and other standard terms and conditions. In the real estate area, we have developed documentation for multi-family and commercial permanent loan programs from the ground up, including all-in-one loan programs involving conversions from construction loans. We have documented individual loans involving almost every idiosyncrasy imaginable - from ownership structures that would boggle Einstein to complex earn-up provisions based on project profitability. We are approved counsel for both Fannie Mae and Freddie Mac's multi-family loan programs and routinely review documents and negotiate legal opinions required under those programs. We have documented a broad range of non-real estate asset-based commercial loans for our clients--from lender warehouse lines secured by existing loans to receivables financing for health care providers. We have helped our lender clients clarify and refine the financial covenants that are central to such loans and to ensure the they are in the strongest position possible in the event they need to realize on their security. |
